These Terms & Conditions (“Terms”) govern your access to and use of BackThisProject.com (“Company,” “we,” “us,” or “our”) and any related services, content, tools, or materials provided by BackThisProject.com. By accessing our website, submitting an inquiry, launching a campaign, or contracting for services, you agree to be bound by these Terms.
If you do not agree with these Terms, do not use our services.
1. Services & Payments
BackThisProject.com provides campaign support and creative production services for creators running crowdfunding or fundraising campaigns for their own projects.
Creators who engage BackThisProject.com do so by entering into a separate written agreement, proposal, or service package for defined services (“Service Agreement”). Any payments made to BackThisProject.com are payment for contracted services only.
BackThisProject.com:
- Does not hold, store, or manage funds on behalf of creators
- Does not act as a bank, escrow service, wallet, or financial intermediary
- Does not distribute or release funds to creators
Creators are solely responsible for configuring and maintaining any third-party payment processor accounts used for their campaign and for fulfilling obligations to supporters or backers.
2. Platform Role; No Merchant or Custodial Responsibility
BackThisProject.com provides a software-based technology platform and related services that enable creators (“Creators”) to present projects and engage directly with supporters or backers. BackThisProject.com is not the seller of any rewards, goods, or services and is not the merchant of record for any transaction.
Creators are solely responsible for their projects and campaigns, including all representations made, reward fulfillment, delivery, refunds, chargebacks, customer communications, tax obligations, and compliance with applicable laws.
BackThisProject.com does not control, manage, guarantee, or underwrite any campaign, project outcome, or creator performance.
By supporting a project or purchasing a reward, backers acknowledge that any transaction and resulting obligations exist solely between the backer and the Creator, and not with BackThisProject.com. BackThisProject.com is not liable for unfulfilled rewards, project failure, delays, losses, or damages arising from a Creator’s actions or omissions.
3. Services Provided
Services may include, but are not limited to:
- Campaign strategy and planning
- Storytelling, messaging, and positioning
- Creative production services
- Campaign launch and execution support
- Promotional guidance and related services
Specific services, deliverables, timelines, and pricing are defined in a separate written Service Agreement agreed to by the creator.
4. Intellectual Property Rights
We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos (collectively, “Content” and “Marks”). Content and Marks are provided “AS IS” for your personal, non-commercial use or internal business purposes only. No part of the Services, Content, or Marks may be copied, reproduced, or exploited for commercial purposes without our express written permission.
5. User Representations
By using the Services, you represent that you have legal capacity, are not a minor, will comply with these Terms, and will not violate applicable law. Providing false information may result in suspension or termination.
6. Prohibited Activities
You may not use the Services in any way that is illegal, unauthorized, or inconsistent with these Terms, including but not limited to circumventing security features, harassing others, posting harmful content, or engaging in automated or commercial misuse.
7. User Submissions
Creators may provide materials, feedback, or other content (“Submissions”). By submitting, you grant BackThisProject.com rights to use the Submissions for lawful purposes. You retain ownership of your Submissions and are responsible for their legality and accuracy.
8. Services Management
We may monitor, restrict, or remove content to protect our rights and ensure proper functioning of the Services.
9. Term & Termination
We may suspend or terminate access at any time for violations of these Terms. Termination does not affect your obligations under any Service Agreement.
10. Modifications & Interruptions
We may modify or discontinue the Services at any time without liability. Service interruptions may occur for maintenance or unforeseen issues.
11. Governing Law
These Terms are governed by Texas law. Courts in Texas have exclusive jurisdiction over disputes.
12. Dispute Resolution
Disputes will first attempt informal negotiation for 30 days. Unresolved disputes will be submitted to binding arbitration administered by a recognized arbitration provider in accordance with its commercial arbitration rules, with the seat of arbitration in Texas and proceedings conducted in English. Certain disputes (IP rights, theft, injunctive relief) may bypass arbitration.
13. Corrections
We may correct errors or update information on the Services at any time without notice.
14. Disclaimer
The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the fullest extent permitted by law.
15. Limitations of Liability
We are not liable for indirect, incidental, or punitive damages. Total liability is limited to the amount paid to BackThisProject.com for the specific services.
16. Indemnification
You agree to indemnify and hold BackThisProject.com harmless from any claims arising from your use of the Services, breach of Terms, or violation of third-party rights. This indemnification includes, without limitation, claims arising from campaign transactions, reward fulfillment, chargebacks, refunds, misrepresentations, or violations of payment processor terms by the Creator.
17. User Data
You are responsible for your data. We perform backups but are not liable for data loss or corruption.
18. Electronic Communications
By using the Services, you consent to electronic communications and agree that electronic signatures and records satisfy legal requirements.
19. Miscellaneous
These Terms constitute the entire agreement. Waiver, assignment, severability, and other standard provisions apply.
